4. Intellectual Property

Upon full payment, clients receive ownership of custom deliverables created specifically for their project. However, Mobixgen retains ownership of all pre-existing materials, proprietary tools, frameworks, and methodologies used in the creation of deliverables. We reserve the right to showcase completed work in our portfolio unless otherwise agreed in writing.

5. Payment Terms

Payment terms are as follows:

• Final payment is due upon project completion and before final delivery
• Late payments may incur additional charges as specified in project agreements

6. Project Modifications

Changes to project scope after agreement may affect timelines and costs. Any significant modifications will require written approval and may be subject to additional charges. We will provide updated estimates before proceeding with scope changes.

7. Warranties and Disclaimers

We strive to deliver high-quality services but provide our services "as is" without warranties of any kind, either express or implied. We do not guarantee that our services will be uninterrupted, error-free, or meet all your expectations. We will make reasonable efforts to address any issues that arise.

8. Limitation of Liability

To the maximum extent permitted by law, Mobixgen shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services or any related matter.

9. Termination

Either party may terminate a project agreement with written notice. Upon termination, the client is responsible for payment for all work completed up to the termination date. Any materials created remain subject to intellectual property provisions outlined above.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Kenya. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Kenya.
